KODEFY — Terms of Service

Welcome to KODEFY. These Terms of Service (“Terms”) govern all website design, development, digital, and related services provided by KODEFY (“KODEFY”, “we”, “our”, or “us”) to clients (“Client”, “you”, or “your”).

By purchasing or using our services, you agree to these Terms.

1. Services

KODEFY provides digital services including but not limited to:

  • Website development
  • SEO-related services
  • Analytics-related services
  • Landing page development
  • Company profile websites
  • Portfolio websites
  • UI/UX design
  • Website maintenance
  • Digital branding assets
  • Other web-related services agreed upon in writing

The exact scope of work will be defined through proposals, invoices, WhatsApp messages, email, or other written communication.

2. Project Process

2.1 Project Start

Projects officially begin after:

  • The scope is agreed upon, and
  • A 50% upfront deposit is received unless otherwise agreed.

KODEFY reserves the right to decline projects at our discretion.

2.2 Client Responsibilities

The Client agrees to provide:

  • Required content
  • Images and branding assets
  • Login credentials when necessary
  • Feedback and approvals in a timely manner

Delays in providing materials or feedback may extend the project timeline.

2.3 Communication

Official communication may occur through:

  • WhatsApp
  • Email
  • Zoom
  • Google Meet
  • Other mutually agreed communication platforms

Clients are responsible for checking messages and responding within a reasonable timeframe.

3. Payments

3.1 Deposits

Unless otherwise agreed:

  • A non-refundable 50% upfront payment is required before work begins.
  • Remaining balances must be paid before final delivery or website transfer.

3.2 Late Payments

KODEFY reserves the right to:

  • Pause ongoing work
  • Delay delivery
  • Suspend services
  • Remove temporary hosting access

until outstanding payments are completed.

3.3 Refunds

Due to the digital nature of our services:

  • Payments already made are generally non-refundable.
  • Partial refunds may be considered only if KODEFY is unable to continue the project.

No refunds will be provided for:

  • Change of mind
  • Business closure
  • Delayed responses from the Client
  • Client dissatisfaction caused by changes outside the original agreed scope

4. Revisions

4.1 Included Revisions

Projects may include a limited number of revisions depending on the package or agreement.

Minor revisions may include:

  • Text edits
  • Color adjustments
  • Small layout adjustments
  • Image replacements

4.2 Major Revisions

Requests that significantly alter the approved design, structure, functionality, or direction of the project may be treated as additional work and charged separately.

Examples include:

  • Full redesign requests
  • New sections or pages
  • Feature additions
  • Changing the project direction after approval

5. Delivery & Ownership

5.1 Final Delivery

Final files, website transfer, or deployment will occur after full payment is received.

5.2 Ownership

After full payment:

  • The Client owns the final approved website content and deliverables.
  • Source code, development files, or editable project files are not included by default.
  • KODEFY may provide source code or editable files at an additional cost agreed upon separately.
  • KODEFY retains the right to showcase the project in portfolios, social media, case studies, and marketing materials unless otherwise agreed.

5.3 Third-Party Assets

Some projects may include third-party assets such as:

  • Fonts
  • Plugins
  • Templates
  • APIs
  • Hosting providers
  • External services

Their usage may be subject to separate licenses or terms from their respective owners.

KODEFY is not responsible for third-party outages, policy changes, pricing changes, or discontinued services.

6. Hosting & Domains

Unless otherwise agreed:

  • Hosting and domain registration for the first year may be included in selected packages.
  • Renewal fees after the first year will be discussed with the Client.
  • Clients may renew domains and hosting independently, or request KODEFY assistance for renewal and management at an additional cost.
  • Third-party hosting providers are managed under their own terms.

If KODEFY manages hosting or deployment:

  • We may suspend services for unpaid invoices.
  • We are not responsible for downtime caused by third-party providers.

7. SEO & Performance Disclaimer

KODEFY does not guarantee:

  • Search engine rankings
  • Specific traffic numbers
  • Sales or conversion results
  • Advertising performance

Website speed and SEO performance may vary depending on:

  • Hosting quality
  • Third-party integrations
  • User devices
  • Internet conditions
  • Future algorithm changes

8. Content & Legal Responsibility

KODEFY may assist with basic copywriting or text preparation unless the Client prefers to provide their own content.

The Client is fully responsible for all provided or approved content including:

  • Text
  • Images
  • Videos
  • Branding materials
  • Uploaded files

The Client confirms they have the legal right to use submitted materials.

KODEFY is not liable for:

  • Copyright infringement by the Client
  • Trademark disputes
  • Illegal or misleading content
  • Regulatory violations caused by Client-provided materials

9. Prohibited Usage

KODEFY reserves the right to refuse or terminate services related to:

  • Illegal activities
  • Fraudulent businesses
  • Hate speech
  • Malware or phishing
  • Adult content
  • Gambling-related services where prohibited
  • Content that violates applicable laws, especially Indonesian laws

10. Maintenance & Support

Unless included in a bundled maintenance package or separate maintenance agreement:

  • Ongoing updates are not included after project completion.
  • Some KODEFY packages may include limited maintenance and support.
  • Future edits or technical support outside the agreed package may incur additional fees.

KODEFY does not guarantee lifetime compatibility with:

  • Browsers
  • Plugins
  • Frameworks
  • APIs
  • Third-party integrations

11. Limitation of Liability

To the maximum extent permitted by law, KODEFY shall not be liable for:

  • Indirect losses
  • Lost profits
  • Business interruption
  • Data loss
  • Security breaches caused by third-party services
  • Damages exceeding the amount paid for the project

The Client understands that all digital services carry inherent technical risks.

12. Project Abandonment

If the Client becomes unresponsive for 30 days or more:

  • The project may be considered abandoned.
  • KODEFY may close the project without refund.
  • Remaining balances may still apply for completed work.

13. Cancellation

Clients may cancel projects at any time through written notice.

However:

  • Deposits remain non-refundable.
  • Work already completed may still be billed.
  • KODEFY may retain unfinished work until outstanding balances are settled.

14. Changes to These Terms

KODEFY may update these Terms at any time.

Updated versions become effective once published or shared with the Client.

15. Governing Law

These Terms shall be governed by and interpreted under the laws applicable in Indonesia.
